These Terms of Service ("Terms") govern your access to and use of the Rynova Engine website and the consulting and advisory services offered through it (together, the "Services"). By accessing this website, submitting a request, or engaging Rynova Engine ("Rynova Engine," "we," "us," or "our"), you agree to these Terms. If you do not agree, please do not use the Services.

01 Acceptance of Terms

By using this website or engaging our Services, you confirm that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. These Terms apply to all visitors, users, and clients.

We may update these Terms from time to time. Any changes take effect when posted on this page, and the "Last updated" date above will reflect the most recent revision. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

02 Nature of the Services

Rynova Engine provides operational engineering consulting and advisory services only. Our work results in written recommendations, assessments, documentation, process maps, and coordination materials. We do not perform physical, licensed, or regulated engineering work of any kind.

All deliverables are advisory in nature. Decisions about whether and how to act on our recommendations remain entirely with you.

03 Services Offered

Our consulting Services currently include the following, each defined by a written scope agreed before work begins:

  • Mechanical Workflow Assessment — review of operational workflows and process friction.
  • Technical Documentation Support — structuring of procedures, SOP drafts, and internal documentation.
  • Process Optimization Consulting — analysis and prioritized recommendations for improving operational processes.
  • Engineering Coordination Advisory — coordination review, responsibility mapping, and communication structure.

The specific services, deliverables, and pricing that apply to your engagement are those stated in your written scope.

04 Scope Exclusions

To avoid any ambiguity, the Services expressly do not include, and no deliverable should be interpreted as providing, any of the following:

  • Licensed professional engineering services or engineering approvals;
  • Stamped, sealed, or certified drawings, plans, or calculations;
  • Manufacturing, fabrication, mechanical repair, or maintenance;
  • Equipment installation, construction, or field work;
  • Regulatory, safety, or code certification or sign-off;
  • Legal, financial, accounting, tax, or insurance advice.

Where any of these are required for your project, you are responsible for engaging an appropriately licensed or qualified provider. We are glad to help structure the surrounding process and documentation, but the regulated work itself must be performed by that provider.

05 Requests and Written Scope

Submitting a request through this website does not create a binding engagement. After we review your request, we provide a written scope describing the work to be performed, the deliverables, the expected timeline, and the confirmed starting price.

An engagement begins only when you approve that written scope. Until then, no work is performed and nothing is billed.

06 Pricing and Payment

Prices displayed on this website are starting points. Final pricing depends on project scope, timeline, documentation depth, and consulting requirements, and is confirmed in your written scope before work begins.

Unless your written scope states otherwise, invoices are due within the period specified on the invoice. We may pause or suspend work on past-due accounts. Any applicable taxes are your responsibility unless stated otherwise.

07 Client Responsibilities

Effective consulting depends on accurate information and reasonable access. You agree to:

  • Provide accurate, complete, and timely information relevant to the engagement;
  • Make appropriate personnel, documents, and context available as reasonably needed;
  • Review deliverables and provide feedback within the timeframes agreed in your scope;
  • Independently verify and validate any recommendation before implementing it.

We are not responsible for outcomes arising from incomplete, inaccurate, or withheld information.

08 Deliverables and Revisions

Deliverables are provided in the formats stated in your scope, typically including an editable version. Unless otherwise agreed, each engagement includes one clarification round so that the deliverables are fully understood. Additional revisions or extended support can be scoped separately.

09 No Guarantee of Results

Our Services are advisory. While we apply professional care and experience, we do not guarantee any specific operational, financial, or business outcome. Results depend on many factors outside our control, including how, whether, and when you choose to implement our recommendations.

10 Intellectual Property

Upon full payment for the relevant engagement, you receive a license to use the deliverables prepared specifically for you for your internal business purposes. We retain ownership of our underlying methods, frameworks, templates, know-how, and any general materials not created uniquely for you.

Website content, including text, layout, and graphics, remains the property of Rynova Engine and may not be copied or reproduced without permission.

11 Confidentiality

Each party agrees to protect the other's non-public information disclosed during an engagement and to use it only for the purposes of that engagement. This obligation does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

12 Cancellation and Refunds

Because engagements vary, cancellation terms and any refunds depend on the stage of the work and are governed by your written scope. Work already performed and deliverables already provided are generally non-refundable. Where a project is cancelled mid-engagement, we may bill for work completed up to that point.

13 Limitation of Liability

To the maximum extent permitted by law, Rynova Engine will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to an engagement will not exceed the fees actually paid by you for that engagement.

14 Indemnification

You agree to indemnify and hold harmless Rynova Engine from any claims, damages, liabilities, and expenses arising from your use of the deliverables, your implementation decisions, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

15 Independent Contractor

Rynova Engine acts as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

16 Termination

Either party may terminate an engagement as provided in the written scope, or where the other party materially breaches these Terms and fails to cure the breach within a reasonable period after notice. Provisions that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, and indemnification — will survive.

17 Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Missouri for any dispute arising out of or related to these Terms, unless otherwise required by applicable law.

18 Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. Material changes take effect when posted. We encourage you to review this page periodically.

19 Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
